Cap Table
You've got your Shareholders Agreement sorted and now it's time to dive into the cap table?! In this post, I’ll give you all the keys to navigate this sea of numbers and hassle. 🤜🤛
What’s a Cap Table?
The Cap Table is a big Excel sheet that summarizes the entire history of your company’s shares – it's your equity story. It’s super important because it will heavily influence how potential investors view your company.
What’s Included in a Cap Table?
Types of Shares: Common shares, preferred shares, options, warrants, etc.
Shareholders’ Names and Their Roles: Founders, angels, funds, etc.
Number of Shares Held by Each
Ownership Percentage for Each
Purchase Price
Acquisition Dates (usually grouped by liquidity events)
Options and Conversion Rights
Need a Cap Table Template?
I debated giving you a template, but since there are so many variables to include and combinations to consider, I recommend checking out Carta or Capshare to create your own.
But here's a little surprise at the end – actually, it’s a little gift for you. 😉
